Terms of Service

1. Acceptance

These Terms of Service form a binding agreement between you and Dupree Ops LLC(operator of Star Algorithm, "Star Algorithm", "we", "us"). By creating an account or using the service at staralgorithm.app, you agree to these terms and to our Privacy Policy. If you do not agree, do not use the service.

2. What Star Algorithm is — and is not

Star Algorithm is a software platform that lets you discover and subscribe to trading algorithms ("Strategies") ranked by risk-adjusted performance. When you subscribe a Strategy to a Capsule funded by your Alpaca brokerage account, the Strategy submits orders against that account within the limits you configure.

Star Algorithm is not:

  • A broker-dealer. Alpaca Securities LLC (member FINRA/SIPC) is the broker-dealer that opens, holds, and clears your account.
  • A registered investment adviser providing personalized investment advice.
  • A custodian of your funds or securities. All cash and positions sit in your Alpaca account, in your name.
  • A guarantor of returns. Past performance — including arena leaderboard rankings — does not guarantee future results.

3. Eligibility

  • You are 18 years of age or older.
  • You are a US resident with a valid Social Security Number or Individual Taxpayer Identification Number for KYC.
  • You have legal capacity to enter this agreement and to open a brokerage account.
  • You are not on any US sanctions list or otherwise prohibited from holding a brokerage account.

4. Account, funding, and trading

4.0 Two ways to connect an Alpaca account

Star Algorithm supports two paths:

  • Alpaca Connect (OAuth). You already have an Alpaca brokerage account in your own name. You sign in at app.alpaca.markets, fund it via Alpaca's own ACH or wire flow, then authorize Star Algorithm to read account state and place trades on your behalf via OAuth2.
  • Broker API onboarding. You complete KYC inside Star Algorithm; we open a brokerage account in your name at Alpaca, and a Plaid-connected bank funds it.

Both paths put the account in your name at Alpaca Securities. Star Algorithm does not custody funds in either path.

4.1 Brokerage account

When you complete onboarding, we submit your KYC information to Alpaca and open a brokerage account in your name. Alpaca approves, opens, and supervises the account. Alpaca's account agreement, customer agreement, and disclosures apply directly to that account.

4.2 Funding via Plaid

You may link a bank account through Plaid Link. Plaid verifies the account and returns a single-use processor token; Alpaca redeems that token to establish an ACH relationship. We do not store raw bank account or routing numbers. Funding and withdrawal timing follow Alpaca and NACHA rules.

4.3 Strategy subscriptions and Capsules

You may subscribe a Strategy to a Capsule. Each Capsule has limits you set — capital allocation, daily/weekly loss caps, max position size, allowed asset classes, and a leverage-allowed flag. Orders are routed through our risk engine before reaching Alpaca; orders that exceed your limits are rejected.

You authorize Star Algorithm to submit orders to your Alpaca account on your behalf, scoped to the active Capsules' configurations. You may pause or halt a Capsule at any time. The platform-wide HALT button stops all order submission across all your Capsules.

4.4 Scope of OAuth authorization

If you connect via Alpaca Connect (OAuth), the access token Alpaca issues us is scoped to account:write, trading, and data. Practically:

  • We can: read your positions, balances, order history; place new orders; cancel existing orders.
  • We cannot: see your password or MFA codes, see other apps connected to your Alpaca account, initiate withdrawals to other bank accounts, change your contact info or KYC, or close your account.

Even within scope, all order submission still passes through our risk engine and your Capsule's configured limits. We will not place orders outside those limits, and we will not place orders for any Capsule that you have paused or halted.

4.5 Revocation

You can revoke our OAuth authorization at any time, from either side:

  • From Star Algorithm: /connect → Disconnect. Removes the token from our store; we stop placing trades immediately.
  • From Alpaca: app.alpaca.markets → Connected Apps → revoke. Invalidates the token at the source.

Revocation only stops futureorders. Orders we already submitted to Alpaca remain in place per Alpaca's rules — we have no ability to recall them without a fresh authorization.

4.4 No advice

Strategy rankings, descriptions, and signals are not investment advice. You are solely responsible for the decision to subscribe to any Strategy and for the risk limits you set. If you want personalized investment advice, consult a licensed adviser.

5. Trading risk disclosures

  • Loss of capital. All trading involves risk. You may lose part or all of the capital you allocate to a Capsule.
  • Drawdowns. Even Strategies ranked highly on the leaderboard have experienced significant drawdowns. Past drawdown is not the worst possible drawdown.
  • Market hours and outages. Orders are submitted during Alpaca's market sessions. Outages at Alpaca, Plaid, or exchanges may delay or prevent orders, including stop-loss orders.
  • Slippage. Fills may execute at prices different from the signaled price, especially in fast or thin markets.
  • Algorithmic risk. Strategies may behave unexpectedly. Your Capsule limits and the platform kill switch are the primary safeguards.
  • Tax responsibility. You are responsible for any taxes on your trading activity. Alpaca provides year-end tax documents.

6. Fees

Star Algorithm charges a subscription fee for access to the platform and for Strategy subscriptions. Current pricing is shown on /pricing and may change with notice. Alpaca charges its own brokerage fees, regulatory fees, and ACH fees per its schedule. Plaid does not charge you directly.

7. Acceptable use

You agree not to:

  • Use the service to commit fraud, money laundering, market manipulation, or any unlawful activity
  • Attempt to access another user's account, data, or Capsules
  • Reverse-engineer the platform, scrape data outside the documented API, or attempt to bypass risk gates
  • Use credentials or processor tokens that do not belong to you
  • Resell access to the service without our written consent

8. Intellectual property

Star Algorithm, its logos, brand, Strategies catalog, and software are owned by Dupree Ops LLC. You receive a limited, non-exclusive, non-transferable license to use the service for personal investment purposes only.

9. Suspension and termination

You may close your account at any time. We may suspend or terminate your account for breach of these terms, suspected fraud, regulatory requirements, or risk to the platform. On termination, we'll cancel pending orders, pause Capsules, and hand over data export within a reasonable period subject to legal retention requirements.

10. Disclaimers

The service is provided "as is" and "as available." We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. We do not guarantee uninterrupted service, error-free operation, or any particular investment outcome.

11. Limitation of liability

To the maximum extent permitted by law, Dupree Ops LLC, its officers, employees, and agents will not be liable for: (a) any indirect, consequential, incidental, special, or punitive damages; (b) loss of profits, data, or goodwill; (c) trading losses arising from algorithmic decisions made within the limits you set; (d) outages or delays caused by Alpaca, Plaid, exchanges, or other third-party providers.

Our aggregate liability to you for any claim is limited to the greater of $100 USD or the fees you paid us in the 12 months before the event giving rise to the claim.

12. Arbitration and governing law

These terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Disputes will be resolved by binding arbitration administered by JAMS under its Comprehensive Rules, in New York County. You waive the right to a jury trial and to participate in a class action, except as prohibited by law. Small claims and IP infringement claims may be brought in court.

13. Changes

We may update these terms. Material changes will be announced by email or in the dashboard at least 14 days before they take effect, except where a shorter notice is required for legal or security reasons. Continued use after the effective date constitutes acceptance.
